These Terms & Conditions (the "Terms") form a binding agreement between you ("you," "your," or "Customer") and Company Registration LLC ("we," "us," or "our"), the company that operates the US State Filing Application website at llc-registration.org (the "Site") and the related document, formation, and filing services (collectively, the "Services"). By accessing the Site, creating an account, submitting an application, or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
Company Registration LLC, operating as US State Filing Application, is an independent, third-party filing service. We are not affiliated with, endorsed by, or sponsored by any federal, state, or local government agency, the Internal Revenue Service (IRS), or any Secretary of State. Government agencies allow you to prepare and submit these filings yourself, often for the state fee alone. You are paying us for the convenience of our preparation, review, and filing services.
2. The Services
Depending on what you order, the Services may include:
- Collecting your information through an online application and preparing formation documents (such as Articles of Organization) for filing with the applicable Secretary of State;
- Submitting those documents to the state and paying the state filing fee on your behalf;
- Providing a secure online portal where you can preview and download company documents;
- Generating fill-in templates such as an Operating Agreement, Membership Certificates, Banking Resolution, and a pre-filled W-9; and
- Optional add-on services (for example, registered agent service, EIN assistance, or compliance filings) that you separately select.
We may add, modify, or discontinue any part of the Services at any time. Processing times are estimates only and depend on the relevant government agency, which we do not control.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you are authorized to provide the information you submit and to request the formation of, or filings for, the business entity in question.
4. Your Account
To access the portal you may need to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at support@llc-registration.org if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.
5. Your Responsibilities
You are solely responsible for the accuracy, completeness, and legality of the information you provide. We prepare and submit filings based on what you give us and do not independently verify it. You agree to:
- Provide true, current, and complete information;
- Confirm that your chosen business name, members, addresses, and other details are correct before filing;
- Promptly review documents we deliver and notify us of any errors; and
- Comply with all laws applicable to your business, including obtaining any licenses, permits, and registrations we do not handle.
Errors caused by inaccurate or incomplete information you provide are your responsibility, and government agencies may charge additional fees to correct or refile.
6. Authorization to File
By submitting an application, you authorize us to act as your third-party designee and agent for the limited purpose of preparing and submitting your filings, communicating with the relevant government agencies about those filings, paying applicable fees on your behalf, and delivering related documents to you. This authorization does not make us your attorney, accountant, or registered agent unless you separately purchase such a service.
7. Fees & State Charges
Our service fees are described at the time of purchase. Government filing fees are separate and are set by each state; they are subject to change by the state without notice. Some states impose additional or expedited-processing fees. Unless clearly stated otherwise, amounts you pay us include our service fee plus the applicable state fee for the items you ordered. You are responsible for any taxes associated with your purchase. Recurring services (such as registered agent service, where offered) renew and bill on the cycle disclosed at sign-up until you cancel.
8. Refunds & Cancellation
If you wish to cancel, contact us as soon as possible at support@llc-registration.org. Because we begin work promptly and government fees are generally non-refundable once a filing is submitted, refunds are limited as follows: we will refund our service fee for an order that has not yet been submitted to the state, less any costs already incurred; once a filing has been submitted, state fees and any third-party costs are non-refundable, and our service fee may be non-refundable. Nothing in this section limits rights you may have under applicable law.
9. Documents & Templates
Any documents, forms, or templates we generate or provide (including Operating Agreements, Membership Certificates, resolutions, and tax forms) are general-purpose templates for your convenience. They are not legal, tax, or financial advice, may not fit your specific circumstances, and may need to be reviewed or modified by a licensed professional before you rely on them. You are responsible for ensuring any document you sign or submit is appropriate for your situation.
10. Third Parties & Government Agencies
The Services rely on third-party providers (for example, payment processors, email delivery, and cloud hosting) and on government agencies that we do not control. We are not responsible for delays, rejections, errors, fee changes, or outages caused by those parties. Government processing times and decisions are outside our control, and we cannot guarantee that any filing will be accepted.
11. Intellectual Property
The Site, its design, text, graphics, logos, and software are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Site and the documents we deliver for your own business purposes. You may not copy, resell, or redistribute the Services or our templates as your own product.
12. Prohibited Uses
You agree not to use the Services to: violate any law; submit false, fraudulent, or misleading information; impersonate another person or entity; infringe the rights of others; interfere with or attempt to gain unauthorized access to the Site or its systems; or use the Services for any purpose other than the lawful formation and administration of your own business entity.
13. Disclaimers
The Services and all documents are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be uninterrupted or error-free, that any filing will be accepted, or that any document will achieve a particular legal or tax result. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the Services. Our total liability for any claim arising out of or related to the Services will not exceed the amount of the service fees you paid us for the specific order giving rise to the claim. This limitation applies regardless of the theory of liability and even if we were advised of the possibility of such damages.
15. Indemnification
You agree to indemnify and hold harmless Company Registration LLC and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or the information you provided to us.
16. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share your information. By using the Services, you consent to those practices.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will take effect when posted, and your continued use of the Services after that constitutes acceptance of the updated Terms.
18. Governing Law & Disputes
These Terms are governed by the laws of the United States and of the State of Wyoming, where Company Registration LLC is organized, without regard to conflict-of-law rules. You agree that any dispute will first be addressed through good-faith discussions with us. If a dispute cannot be resolved informally, you agree that it will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
