What it costs
Forming an LLC in Delaware costs $299 in total. That is one price covering both the Delaware Division of Corporations's filing fee, which we pay on your behalf, and our service for preparing and filing the paperwork. There is nothing else to pay to get your LLC formed.
Delaware has no online formation wizard. The Certificate of Formation is a document filed with the Division of Corporations, which then returns the stamped copy by mail. We file it on the Division's own template, track it on the state's entity search, and put the stamped certificate in your account as soon as it arrives.
How long it takes
Standard Delaware LLC processing takes 10 to 14 business days. We track each filing and deliver your documents as soon as the state issues them. Expedited Delaware LLC processing takes 3 to 5 business days.
Where Delaware filings get tripped up
These are the things we have actually run into filing in Delaware, in plain English.
- Your stamped certificate comes back by mail, not email
- Even after Delaware approves a filing, the stamped Certificate of Formation travels by U.S. mail. Your file number shows up on the state's entity search first, so the company can exist a few days before the paper does.
- There is no annual report, but there is a $400 tax every June 1
- Delaware LLCs pay a flat $400 annual tax due June 1, starting the year after formation, and late payment adds a penalty plus interest. It is the cost people most often miss when they pick Delaware.
- The name search ignores punctuation
- Delaware compares names without their hyphens and punctuation, so a hyphen will not separate your name from an existing one. Different words do.
- The filing has strict formatting rules
- Delaware wants the certificate on letter-size paper with set margins and black ink. We use the Division's own template, which already meets them, so this never comes up for you.
What we need from you
Your business name, the address for the company, and the names of the members. That is the whole application, and it takes a few minutes. We prepare and file the Certificate of Formation for you, and handle the state's payment.
What you get
Your stamped Certificate of Formation from the state, delivered straight to your account as soon as Delaware issues it. From there you can add an EIN, an operating agreement, membership certificates, or registered agent service.
